EDF will pay 774 pence a share for the country's biggest electricity producer, according to a statement issued on Wednesday.
British Energy, 35 percent owned by the British government, and EDF have been in takeover talks since at least March. EDF's original offer of 765 pence a share was rejected at the last minute in August by shareholders Invesco and M&G, which own 15 percent and 7 percent of British Energy respectively.
British Energy has been effectively up for sale since the government gave the green light to a fleet of new nuclear power stations in January. It owns eight active but aging plants, all of which have neighboring land deemed suitable for new construction.
